1. What’s in these Terms?

These terms of use (“Terms”) tell you the rules for using our website at summit.cardano.org, and all related website applications including https://voting.summit.cardano.org (our site).

Cardano Foundation (Cardano Stiftung) is a not for profit organisation based in Zug, Switzerland that is dedicated to act as an objective, supervisory and educational body for the Cardano Protocol and its associated ecosystem. The registered address is:

3. Acceptance of these Terms

By using our site, you confirm that you accept these Terms, that you agree to comply with them as well as with all applicable laws and regulations, and you have legal competence to consent to these terms. If you do not agree with any of these Terms, you are prohibited from using or accessing this site. 

Certain parts of our site or the whole site in general may be subject to additional terms. In particular, should you purchase any tickets to any of our events on the site or using any related web or mobile applications, you may be subject to additional terms and conditions relating thereto.

 

4. Our intellectual property – how you may use material on our site

We are the owner or licensee of all intellectual property rights in our site and in the materials published on it. Those works are protected by copyright and trademark laws and treaties around the world. All such rights are reserved.

Use of our trademarks is governed by our trademark policy and requires adherence to its terms, unless otherwise authorised through our prior written approval.

This licence shall automatically terminate if you violate any of these restrictions and may be terminated by Cardano Foundation at any time. The materials on our site are provided on an ‘as is’ basis for general information purposes only. 

The materials appearing on our site could include technical, typographical, or photographic errors. Cardano Foundation does not warrant that any of the materials on its site are accurate, complete or current. Cardano Foundation may make changes to the materials contained on its site at any time without notice. However, Cardano Foundation does not make any commitment to update the materials.

Cardano Foundation makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, accuracy of results, warranties as to the absence of bugs or other vulnerabilities, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Cardano Foundation does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its site or otherwise relating to such materials or on any site linked to from this site. All use of the site is at your own risk.

 

6. Limitations of our liability for losses or damages suffered by you

In no event shall Cardano Foundation or its subcontractors be liable for any claims or damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the site or any the materials on our site, even if Cardano Foundation or a Cardano Foundation authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

 

7. Website applications

We reserve the right to deny registration on any website applications to anyone at our sole discretion and without assigning any reason thereof. We retain the right to deny access to any website applications to any user at any time, including for the reason that we believe such person has violated these Terms. We reserve the right to delete all data associated with any account created by a user who behaves contrary to these Terms. When registering for or using any of our website applications, you may do so through your wallet address or Discord account. We may verify your interaction with our website applications via SMS and a one-time pin.

You warrant that your use of the site shall not infringe, misappropriate or violate in any manner the right of any third-party or result in the violation of any applicable law or regulation. You agree that your use of any website applications will be in accordance with the applicable rules of those website applications. In particular, any website applications used for voting shall be used fairly and honestly, and you shall not impersonate another user to cast an additional vote or otherwise distort the voting results. We do not guarantee the accuracy of any information provided by website applications.

 

8. User account responsibilities

In case of registrations, you are responsible for protecting against unauthorized access. Keep your access data secret and do not disclose it to anyone. We are not responsible for lost, stolen or compromised access credentials or for access to your account by an unauthorized user if this was caused by you. Access to and use of the site is at your own risk.

 

9. We are not responsible for websites we link to

Cardano Foundation has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Cardano Foundation of the site. Use of any such linked website is at the user’s own risk.

 

10. No text or data mining or web scraping

You must not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site. This includes using (or permitting, authorising or attempting the use of):
▪ Any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same.
▪ Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.
The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of applicable copyright law. Because some jurisdictions do not allow such exclusion or limitation of text or data mining or web scraping activity by contract, this clause may not apply to you.

 

11. How we may use your personal data

You agree that you will not engage in any activity that interferes with or disrupts the site (or the servers and networks which are connected to the same) or attempt to interfere with its proper functioning in any way.

You will not make any unauthorised disclosures of any personally identifiable information of any individual, including but not limited to email address and username, without their consent. You agree that you will not attempt to gain unauthorised access to any portions of the site which are unavailable to you.

Cardano Ballot votes, once cast, cannot be changed.

13. Rules about linking to our site

▪ You may link to our site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

▪ Our site must not be framed on any other site.
▪ We reserve the right to withdraw linking permission without notice.

14. Modifications of these Terms

Cardano Foundation may revise these Terms for its site at any time without notice. The revised version applies upon publication on our site. By using our site, you are agreeing to be bound by the then current version of these Terms.

 

15. Changes, suspension or withdrawal of the site

▪ We may update and change our site from time to time to reflect changes to our products, our users’ needs, and our business priorities. We will try to give you reasonable notice of any major changes if we deem this necessary or useful.
▪ Our site is made available free of charge, except where explicitly stated otherwise.
▪ We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal if we deem this necessary or useful.

 

16. Assignment

We may transfer our rights and obligations under these Terms to another organisation. We will always inform you in writing or other suitable form if this happens.

 

17. Governing Law and jurisdiction

These Terms are governed by and construed in accordance with the material laws of Switzerland under exclusion of its conflicts of laws provisions and you irrevocably submit to the exclusive jurisdiction of the courts of Zug, Switzerland. In case of imminent or actual infringement of its rights, Cardano Foundation reserves the right to call upon any other competent court for injunctive relief.
